Terms of Service

1. Agreement and business identity
These Terms of Service (“Terms”) govern access to and use of UdyamSync, including https://connect.udyamsync.com, related websites, software, support and services (collectively, the “Service”). The Service is operated by UdyamSync, a sole proprietorship operating in India, from Jaipur, Rajasthan, India.
By creating an account, selecting the acceptance checkbox, using a trial, purchasing a plan or using the Service, you agree to these Terms, the Privacy Policy, Refund and Cancellation Policy, Cookie Notice, Acceptable Use provisions, Subprocessor List and, where applicable, the Data Processing Addendum.
If you use the Service for a business or organisation, you confirm that you have legal authority to bind it. If you do not agree, do not register, pay for or use the Service.
2. Service and third-party platform
UdyamSync provides tools for business communication and management of a customer’s own WhatsApp Business assets. Features may include contacts, inbox, message history, media, templates, campaigns, user access, reporting, billing and integrations, as described on the plan or pricing page.
The customer connects its own Meta Business account, WhatsApp Business Account and phone number. UdyamSync does not provide ownership of a WhatsApp number or Meta account.
Use of WhatsApp is also governed by Meta/WhatsApp terms, pricing, documentation and policies. Meta may approve, reject, pause, restrict or terminate templates, numbers or accounts independently of UdyamSync. The customer pays Meta/WhatsApp usage charges directly unless a plan page expressly states otherwise.
Razorpay, Meta/WhatsApp, Google Firebase and other third-party services have their own terms and privacy practices. UdyamSync is not responsible for their independent decisions, outages, policy changes or account actions.
3. Registration, verification and security
Registration requires accurate account information, a valid email address, a mandatory mobile number and successful Firebase OTP verification. Primary login uses email and password. Firebase OTP may also be used for mobile-number confirmation and password recovery.
Actual OTP codes are handled by Firebase and are not stored by UdyamSync. The customer is responsible for keeping credentials confidential, using strong passwords, maintaining accurate details, controlling authorised users and promptly revoking access when a user leaves.
Notify support@udyamsync.com immediately of suspected compromise, unauthorised access or misuse. UdyamSync may require re-verification, reset credentials, restrict sessions or take other protective measures.
4. Trials
UdyamSync may offer a 14-day free trial. No payment method is required and the trial does not automatically become a paid subscription.
Trial features, limits and restrictions are those displayed on the applicable plan or pricing page at registration and may differ from paid plans.
At trial expiry, the workspace becomes read-only until a paid plan is purchased. The customer may view available data but cannot use restricted paid actions. There is no additional seven-day grace period after a free trial.
5. Plans, fees and manual renewal
Paid plans may be offered monthly or yearly in Indian Rupees. Features and any fair-use, user, message, contact or technical limits are displayed on the applicable plan or pricing page.
Plans renew only through a new manual payment. There is no automatic renewal or automatic charge. The customer is responsible for renewing before expiry.
After a paid plan expires, all plan features may continue for a seven-day grace period. From the eighth day, paid features may be disabled while the account and data remain retained. Renewal restores applicable access.
Where a plan is described as “unlimited”, it means that no fixed UdyamSync quota is displayed for the stated feature, but fair-use, anti-spam, security, infrastructure, technical and Meta/WhatsApp restrictions still apply.
Prices exclude taxes unless stated otherwise. Taxes will be added only when legally applicable. UdyamSync may change prices with at least seven days’ notice; a new price applies to a future manual renewal, not a period already paid.
6. Upgrades and downgrades
An upgrade may take effect immediately after payment, with any eligible remaining plan value adjusted on a pro-rata basis where the product supports that calculation.
A downgrade normally takes effect at the end of the current paid period. No refund is due solely because the customer chooses a lower plan.
Feature availability, fair-use conditions and limits are governed by the plan page shown at the time of purchase or renewal.
7. Payments and refunds
Payments are processed using Razorpay Checkout. UdyamSync does not store full card numbers, CVV, UPI PINs or banking passwords.
Refund eligibility, exclusions, timing, gateway-fee treatment and duplicate-payment rules are set out in the Refund and Cancellation Policy, which forms part of these Terms.
Approved refunds are sent through Razorpay to the original payment source. Paid access may be disabled or changed to read-only when a refund is approved.
Before initiating a chargeback, the customer should contact support@udyamsync.com so that a billing issue can be investigated. Fraudulent or abusive chargebacks may result in restriction or suspension.
8. Customer data and privacy
The customer retains ownership of its contacts, messages, media, business information and other content (“Customer Data”). The customer grants UdyamSync a limited, non-exclusive licence to host, process, transmit, display, back up and otherwise use Customer Data only to provide, secure, support and improve the reliability of the Service as permitted by the Privacy Policy and Data Processing Addendum.
The customer is responsible for the lawfulness, accuracy and quality of Customer Data; required privacy notices; valid consent or opt-in; opt-out records; and responding to its contacts’ rights requests.
UdyamSync does not sell or rent Customer Data and does not use customer messages, contacts or media to train general-purpose AI models.
9. WhatsApp consent, opt-out and platform compliance
The customer may contact a person on WhatsApp only where it has the person’s number and a valid permission or opt-in required by applicable law and WhatsApp policy.
The customer must promptly honour STOP, block, unsubscribe and other opt-out requests and maintain appropriate suppression records.
Outside any customer-service window permitted by WhatsApp, the customer must use approved templates and comply with Meta/WhatsApp category, pricing, quality, frequency and escalation requirements.
The customer is solely responsible for its products, services, communications, sales terms, taxes, licences and dealings with recipients.
10. Acceptable use
Do not use the Service for spam, fraud, harassment, threats, malware, phishing, impersonation, unlawful surveillance, discrimination, intellectual-property infringement, deceptive practices, illegal content or activity, or any violation of Meta/WhatsApp policies.
Do not send, request or store passwords, OTPs, CVV, UPI PINs, full payment-card numbers, highly sensitive medical or financial secrets, government identity numbers or similar data unless the processing is lawful, strictly necessary, appropriately protected and permitted by WhatsApp policy. UdyamSync does not support storing payment authentication secrets.
Do not probe, scan, overload, reverse engineer, bypass limits, interfere with security, access another customer’s data, resell unauthorised access, or use the Service to build a competing product except to the extent such restriction is prohibited by law.
UdyamSync may apply rate limits, fair-use controls, message restrictions and technical safeguards to protect users and the Service.
11. Support, maintenance and availability
Support requests may be submitted 24x7 at support@udyamsync.com. Responses are provided on a best-effort basis; no fixed initial-response time is guaranteed.
The Service is provided on a best-effort and “as available” basis. No formal uptime SLA or service credits apply unless a separate written agreement expressly provides them.
Planned maintenance may be announced in advance where practical. Emergency maintenance or security action may occur immediately.
12. Suspension and termination
UdyamSync may immediately restrict or suspend access where reasonably necessary for a security threat, fraud, unlawful activity, spam, payment abuse, serious policy breach, Meta/WhatsApp violation, legal order or risk of harm.
For a non-urgent remediable breach, UdyamSync will normally provide reasonable notice and an opportunity to cure where practical.
Serious illegal or security abuse may result in immediate termination. Other material breaches may result in termination after notice and an opportunity to cure.
A customer may stop using the Service at any time. Unless a refund is approved, paid access normally continues until the end of the paid period. The customer may appeal a suspension or termination by emailing support@udyamsync.com within 15 days.
On termination or expiry, data remains subject to the Privacy Policy and DPA. An available export may be requested before deletion. Eligible deletion requests are processed within 30 days, with backup expiry up to 60 days and legal-retention exceptions.
13. Intellectual property and feedback
UdyamSync and its licensors own the Service, software, code, design, branding, documentation and related intellectual property. Subject to these Terms and payment of applicable fees, the customer receives a limited, non-exclusive, non-transferable right to use the Service for its internal business purposes.
No ownership of UdyamSync intellectual property transfers to the customer. Customer Content remains owned by the customer or its licensors.
If the customer provides feedback or suggestions, UdyamSync may use them without payment or restriction, provided it does not disclose Customer Data or confidential information contrary to these Terms.
14. Confidentiality
Each party will protect the other party’s non-public confidential information using reasonable care and use it only for the Service and related obligations.
Confidentiality does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source.
Required legal disclosure is permitted after reasonable notice where legally allowed.
15. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. UdyamSync does not warrant uninterrupted, error-free or completely secure operation; delivery or receipt of every message; approval of any Meta account, template or number; or uninterrupted availability of third-party services.
Nothing in these Terms excludes warranties, remedies or consumer rights that cannot lawfully be excluded.
16. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, consequential or punitive damages, or loss of profits, revenue, business, goodwill or data, even if advised of the possibility.
Except for excluded claims, UdyamSync’s aggregate liability arising from the Service will not exceed the fees paid by the customer to UdyamSync during the 12 months immediately before the event giving rise to the claim.
The cap and exclusions do not apply to fraud, deliberate misconduct, unpaid fees, breach of confidentiality or intellectual-property obligations, indemnity obligations, or liability that cannot be excluded or limited by law.
17. Customer indemnity
The customer will defend, indemnify and hold UdyamSync harmless from third-party claims, penalties, costs and reasonable legal fees arising from the customer’s unlawful Customer Data or communications, failure to obtain consent, violation of Meta/WhatsApp policy, infringement of third-party rights, products or services sold by the customer, or misuse of the Service.
This obligation does not apply to the extent a claim was caused by UdyamSync’s own fraud or deliberate misconduct.
UdyamSync does not provide a separate unlimited indemnity for third-party intellectual-property claims, but will use reasonable efforts to address a valid claim affecting the platform, which may include modification, replacement or termination of the affected feature.
18. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including internet or telecommunications failure, hosting or cloud outage, Meta/WhatsApp action or outage, government action, cyberattack, natural disaster, labour disruption or power failure. Payment obligations already due are not excused.
19. Changes to Terms and Service
Material changes to these Terms will normally be notified by email or in-app notice at least 15 days before taking effect, unless an urgent legal, security or service-protection change requires faster action.
Non-material clarifications may take effect when published. Continued use after the effective date constitutes acceptance where permitted by law. If the customer rejects a material change, it may stop using the Service before the change takes effect.
UdyamSync may add, modify or discontinue features. Where a change materially reduces a paid feature, UdyamSync will use reasonable efforts to provide notice or an appropriate remedy.
20. Governing law and disputes
These Terms are governed by the laws of India.
Before court proceedings, the parties will attempt in good faith to resolve a dispute through written negotiation for 30 days after a dispute notice.
Subject to non-waivable consumer rights and the jurisdiction of consumer commissions or statutory authorities, courts at Jaipur, Rajasthan will have exclusive jurisdiction.
21. Notices and grievance redressal
Official notices to a customer may be sent to the registered account email or displayed in the Service.
Notices to UdyamSync must be sent to support@udyamsync.com and, for formal legal notices, to Tambi Mansion, Gali No. 8, Shanti Prakash Marg, Govind Nagar East, Jaipur, Rajasthan - 302002, India.
Grievance Officer: Fiza Siddiqui, Grievance Officer, UdyamSync. Complaints will be acknowledged within 48 hours and targeted for redressal within one month.
22. General
These Terms and incorporated policies are the entire agreement unless a separate written agreement applies. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues.
Failure to enforce a provision is not a waiver. The customer may not assign these Terms without written consent; UdyamSync may assign them as part of a business transfer subject to applicable law and continued protection of Customer Data.
English is the controlling language. Any Hindi or Hinglish explanation is for convenience only.
